01Introduction and Acceptance of Terms
These Terms & Conditions (“Terms”) apply to your use of the Ecom Expert Services website and to inquiries you send us through it. “Ecom Expert Services,” “we,” “us,” and “our” refer to Ecom Expert Services, based in Austin, Texas, United States. “You” refers to anyone who visits the website or contacts us through it.
By using this website or submitting an inquiry, you agree to these Terms. If you do not agree, please do not use the website or submit information through it.
These Terms govern the website. Any paid engagement will also be governed by a separate written proposal, statement of work, or service agreement. If those documents conflict with these Terms, the engagement documents take priority for that engagement.
02Scope of the Website and Our Services
Ecom Expert Services provides eCommerce services for businesses selling on marketplaces and storefront platforms, including Amazon, Walmart, TikTok Shop, Temu, eBay, and Shopify. Depending on the platform and the engagement, our services may include:
- marketplace account and storefront setup;
- account management and ongoing marketplace operations;
- product research, listing preparation, and product launches;
- automation and operational workflows;
- dropshipping and fulfillment workflows on selected platforms;
- Amazon wholesale support;
- PPC campaign management and social media advertising;
- storefront design and related marketing services.
Content on this website, including service descriptions, illustrations, sample dashboards, and blog articles, is provided for general information. It is not a binding offer, and it is not legal, tax, financial, or platform-compliance advice. Illustrative dashboards and 3D scenes use simulated sample data and do not represent client results.
03Client Inquiries and Information You Submit
When you contact us, you agree to provide information that is accurate, current, and yours to share. Please do not submit passwords, full payment-card numbers, government identification numbers, or other sensitive credentials through the contact form.
Submitting an inquiry does not create a client relationship or oblige either party to proceed. We may decline any inquiry at our discretion. How we handle the information you submit is described in our Privacy Policy.
Providing a phone number is optional. Agreeing to receive marketing text messages is a separate, optional choice and is not a condition of purchasing any service.
04Proposals, Pricing, and Payment
After reviewing an inquiry, we may provide a proposal describing the scope, deliverables, timeline, fees, and payment arrangements for the work. Budget ranges you select on our forms help us understand your project; they are not quotes.
Pricing, invoicing, payment schedules, refunds, and cancellations are set out in the proposal or service agreement for each engagement. No fees are owed for using this website or submitting an inquiry.
Platform fees, advertising spend, product and inventory costs, shipping, software subscriptions, and other third-party charges are separate from our service fees unless your agreement expressly says otherwise.
Refunds and cancellation
Fees for work already performed are non-refundable. Because our engagements begin with account setup, entity formation, product sourcing, and other work that is carried out on your behalf and cannot be returned, amounts attributable to completed work are not refunded once that work has started.
If you cancel before work begins, we will refund any amounts paid for work not yet started, less any third-party costs already incurred on your behalf, such as state filing fees, platform fees, or inventory purchased for your account. Those third-party costs are passed through at cost and are not refundable to us, so they cannot be refunded to you.
Either party may end an engagement under section 12. On termination you remain responsible for fees covering work completed up to that date, and we will provide a written summary of what was delivered. To request cancellation or a refund, email info@ecomexpertservices.com.
05Client Responsibilities and Cooperation
Successful eCommerce work depends on timely cooperation. Where an engagement requires it, you are responsible for:
- providing accurate business, product, and brand information;
- granting appropriate account access using each platform’s permission or user-role tools where available;
- making sure you have the rights to the products, trademarks, images, and content you ask us to use;
- complying with the laws and platform policies that apply to your business and products;
- reviewing and approving listings, campaigns, budgets, and other work before it goes live, where approval is requested;
- responding to requests and notices within a reasonable time.
Delays or incomplete information on your side may affect timelines and deliverables.
06Marketplace and Third-Party Platform Dependencies
Our work takes place on platforms we do not own or control, such as Amazon, Walmart, TikTok Shop, Temu, eBay, and Shopify, and on advertising and software tools provided by others, such as Meta Ads, Google Ads, and Bing. Each platform sets its own rules, fees, approval processes, and enforcement decisions, and these can change at any time.
We are not responsible for a platform’s decisions, including account approvals or denials, verification outcomes, listing removals, category or brand restrictions, policy changes, fee changes, suspensions, outages, or changes to algorithms and advertising systems. We work within each platform’s published rules, and you remain responsible for your own accounts and their compliance.
07No Guarantee of Sales, Rankings, or Results
eCommerce outcomes depend on many factors outside our control, including market demand, competition, pricing, product quality, inventory, reviews, platform decisions, and advertising auctions. For that reason, we do not guarantee any particular sales volume, revenue, profit, return on ad spend, ranking, account approval, or other business result.
Any projections, estimates, or examples we share are for planning purposes only and are not promises of future performance.
08Intellectual Property and Website Content
The website and its content, including text, layout, graphics, illustrations, the Ecom Expert Services name and logo, and other materials we created, belong to Ecom Expert Services or our licensors and are protected by intellectual-property laws. You may view the website for your own information. You may not copy, reproduce, modify, republish, or commercially use our content without our written permission.
Platform names and logos, such as Amazon, Walmart, TikTok Shop, Temu, eBay, and Shopify, are trademarks of their respective owners. They are used on this website only to identify the platforms we work with and do not imply endorsement or partnership.
Ownership of deliverables created during a paid engagement is set out in that engagement’s agreement.
09Confidentiality
We treat non-public business information you share with us, such as product plans, supplier details, account information, and performance data, as confidential. We use it only to evaluate and carry out the requested work, and we do not disclose it to others except to service providers who need it to help us deliver that work, where you have agreed, or where disclosure is required by law.
A separate confidentiality or non-disclosure agreement may apply to a specific engagement and, if so, will govern that engagement.
10Third-Party Websites and Services
The website may link to or load content from third-party websites and services, including our social media pages and the eCommerce platforms we discuss. We do not control those services and are not responsible for their content, availability, or privacy practices. Your use of them is governed by their own terms and policies.
11Limitation of Liability
The website is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we make no warranties about the website’s accuracy, completeness, or uninterrupted availability.
To the fullest extent permitted by applicable law, Ecom Expert Services will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising from your use of the website or from actions taken by third-party platforms. Liability for paid services is addressed in the agreement for each engagement.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
12Termination and Suspension
We may restrict, suspend, or end access to the website, or decline to respond to inquiries, if we reasonably believe these Terms have been breached or the website is being misused.
Termination of a paid engagement, including notice periods and any fees due for work completed, is governed by the agreement for that engagement.
13Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date on this page. Changes apply from the date they are posted. Continuing to use the website after an update means you accept the revised Terms.
14Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law rules.
Before starting formal proceedings, both parties agree to try in good faith to resolve any dispute informally by contacting each other in writing. If a dispute cannot be resolved informally, it will be handled in a forum with proper jurisdiction under Texas law, unless applicable law requires otherwise.
